Agreement between User & SpeakerPost (UGSI, LLC)

Operated by UGSI, LLC, SpeakerPost is a Social Networking Site. It is comprised of various web pages. It is offered to you conditioned on your acceptance without modification of the terms, conditions, and notices contained herein (the "Terms"). Your use of SpeakerPost constitutes your agreement to all such Terms. Please read these terms carefully, and keep a copy of them for your reference.

Thank you for using the SpeakerPost platform and the products, services and features we make available to you as part of the platform (collectively, the “Service”)


Our Service

The Service allows you to discover, watch and share content (including videos), provides a forum for people to connect globally to find guest speakers or to seek guest speaking opportunities, recognizes and spotlights people and organizations doing good and acts as a distribution platform for advertisers.


Your Service Provider

The entity providing the Service is UGSI, LLC, a company operating under the laws of California, located in Manhattan Beach, CA 90266 (referred to as “SpeakerPost”, “we”, “us”, or “our”).


Applicable Terms

Your use of the Service is subject to these terms which may be updated from time to time (together, this "Agreement"). Please read this Agreement carefully and make sure you understand it. If you do not understand the Agreement, or do not accept any part of it, then you may not use the Service.


The SpeakerPost platform with all its features helps you connect with others to find guest speakers or speaking opportunities.




SpeakerPost is owned by UGSI, LLC.






Read the fine print. But we’ve done our best to give you the Tl;dr version.

Who may use the Service?

You must be at least 18 years old to use the Service. If you are under 18, you represent that you have your parent or guardian’s permission to use the Service. Please have them read this Agreement with you.


If you are a parent or legal guardian of a user under the age of 18, by allowing your child to use the Service, you are subject to the terms of this Agreement and responsible for your child’s activity on the Service.


SpeakerPost does not knowingly collect, either online or offline, personal information from persons under the age of 18.


Businesses

If you are using the Service on behalf of a company or organisation, you represent that you have authority to act on behalf of that entity, and that such entity accepts this Agreement.



Adults only, not for kids.


SpeakerPost does not knowingly collect personal information from kids.




If you are working for a company, you accept these terms on behalf of the company.

Your Use of the Service

The content on the Service includes videos, audio (for example music and other sounds), graphics, photos, text (such as comments and scripts), branding (including trade names, trademarks, service marks, or logos), interactive features, software, metrics, syllabi, event details and other materials whether provided by you, SpeakerPost or a third-party (collectively, "Content”).

Content is the responsibility of the person or entity that provides it to the Service. SpeakerPost is under no obligation to host or serve Content. If you see any Content you believe does not comply with this Agreement, you can report it to us.

You can use parts of the Service, such as browsing profiles and searching for opportunities, without having a SpeakerPost member account. However, you do need a SpeakerPost account to use some features. With a SpeakerPost member account, you may be able to post and interact on the timeline, connect with community members, and publish speaker opportunities. Members can see your complete profile and can contact you. Speaking opportunities you have posted may be visible to members as well as non-members.

To protect your SpeakerPost member account, keep your password confidential. Maintain confidentiality of your account. Restrict access to your computer and agree to accept responsibility for all activities that occur under your account or password. You may not assign or otherwise transfer your account to any other person or entity. You acknowledge that SpeakerPost is not responsible for third party access to your account that results from theft or misappropriation of your account.

Content is your responsibility. It means many things - from audio-visual and photos to syllabi and text.

Anyone on the web can see parts of your profile and search posted opportunities. Non-members can see posted speaking opportunities.

But they need to be a community member to post and interact on the timeline and with other members.

Keep your password in a safe place. Do not share it with anyone. Protect your account from misuse.

Your Information

Our Privacy Policy explains how we treat your personal data and protect your privacy when you use the Service.

Permissions and Restrictions

You may access and use the Service as made available to you, as long as you comply with this Agreement and applicable law.


The following restrictions apply to your use of the Service. You are not allowed to:

  1. reproduce, download, broadcast, display, sell, license, alter, modify or otherwise use any part of the Service or any content except: (a) as expressly authorized by the Service; or (b) with prior written permission from SpeakerPost and, if applicable, the respective rights holders;
  2. circumvent, disable, fraudulently engage with, or otherwise interfere with any part of the Service (or attempt to do any of these things), including security-related features or features that (a) prevent or restrict the copying or other use of Content or (b) limit the use of the Service or Content;
  3. access the Service using any automated means (such as robots, botnets or scrapers) except in the case of public search engines
  4. collect or harvest any information that might identify a person (for example, emails, names, usernames), unless permitted by that person or allowed under section (3) above;
  5. use the Service to distribute unsolicited promotional or commercial content or other unwanted or mass solicitations;
  6. misuse any reporting, flagging, complaint, dispute, or appeals process, including by making groundless, vexatious, or frivolous submissions;
  7. use the Service to (a) sell any advertising, sponsorships, or promotions placed on, around, or within the Service or Content, other than those allowed in the Advertising on YouTube policies (such as compliant product placements); or (b) sell advertising, sponsorships, or promotions on any page of any website or application that only contains Content from the Service or where Content from the Service is the primary basis for such sales (for example, selling ads on a webpage where YouTube videos are the main draw for users visiting the webpage).


Rules you should follow:


Don’t plagiarize or download.

Don’t cheat.

Don’t sell or solicit

No robots here, please.

Don’t harvest user names.

Reservation

Using the Service does not give you ownership of or rights to any aspect of the Service, including user names or any other Content posted by others or by SpeakerPost.

Your Content and Conduct

Uploading Content

If you have a limited profile (Paid Opportunities Only), you do not have access to several SpeakerPost features, including the main feed so sharing anything there is not possible. You are able to upload and share your own content on your personal profile. 

If you have a ‘Both Volunteer and Paid Opportunities’ member account, you may be able to upload content to your profile as well as share it on the timeline and with individual members via our internal messaging system. You may use your Content to promote your business.

Members and non-members are able to share your profile with all its content with others. Most often, this is done with good intention - A review may lead to an invitation to speak

If you choose to upload Content, you must not submit to the Service any Content that does not comply with this Agreement (including our community guidelines) or the law. For instance, the Content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so. You are legally responsible for the Content you submit to the Service. We may use automated systems that analyze your Content to help detect infringement and abuse, such as spam, malware, and illegal content.

Rights you Grant

You retain ownership rights in your Content. However, we do require you to grant certain to the Service, as described below. 

License to SpeakerPost

By providing Content to the Service, you grant to SpeakerPost a worldwide, non-exclusive, royalty-free, sublicensable and transferable license to use that Content (including to reproduce, distribute, prepare derivative works, display and perform it) in connection with the Service and SpeakerPost (and its successors' and Affiliates') business, including for the purpose of promoting and redistributing part or all of the Service.

 

License to Other Users

You also grant each user of the Service a worldwide, non-exclusive, royalty-free license to access your Content through the Service, and to use the Speaker Opportunity Content to distribute. For clarity, this license does not grant any rights or permissions for a user to make use of your Content, except Speaker Opportunity page, independent of the Service.

 

Duration of License

The licenses granted by you continue for a commercially reasonable period of time after you remove or delete your Content from the Service. You understand and agree, however, that SpeakerPost may retain, but not display, distribute, or perform, server copies of your photos and videos that have been removed or deleted.

Upload content.

 

Promote yourself.

 

Just follow the rules -

No plagiarism, no copyright material. Nothing x-rated or illegal.

 

You own your content. When you share your content on this platform, it will be displayed, distributed and promoted by us. You are giving us that permission, royalty-free. 

 

Members will cheer you along. But they cannot share out your feed-posts outside the portal. They are able to, however share your profile, and profile contents if they so desire. 

 






You are giving these permissions to site members for a reasonable amount of time after you have deleted that content.

Removing Your Content

You may remove your content from the Service at any time. You must remove your content if you no longer have the rights required by these terms.

Feel free to remove content you have posted, obviously.


You should def remove it if you don’t own that content.

Removal of Content By SpeakerPost

If we reasonably believe that any Content is in breach of this Agreement or may cause harm to SpeakerPost, our users, or third parties, we may remove or take down that Content in our discretion. We will notify you with the reason for our action unless we reasonably believe that to do so: (a) would breach the law or the direction of a legal enforcement authority or would otherwise risk legal liability for SpeakerPost or our Affiliates; (b) would compromise an investigation or the integrity or operation of the Service; or (c) would cause harm to any user, other third party, SpeakerPost or our Affiliates.


Content that we find suspicious will be removed.

Account Suspension & Termination

Terminations by You

You may stop using the Service at any time. Visit the Settings section in your member profile to delete your profile. Your data will be deleted once you delete your profile. 


Terminations and Suspensions by Speaker Post for Cause

SpeakerPost may suspend or terminate your access, your member account, or your member account’s access to all or part of the Service if (a) you materially or repeatedly breach this Agreement; (b) we are required to do so to comply with a legal requirement or a court order; or (c) we believe there has been conduct that creates (or could create) liability or harm to any user, other third party, or to SpeakerPost.


Terminations by SpeakerPost for Service Changes

SpeakerPost may terminate your access, or your member account’s access to all or part of the Service if SpeakerPost believes, in its sole discretion, that provision of the Service to you is no longer commercially viable. 


To the maximum extent permitted by law, this agreement is governed by the laws of the State of California and you hereby consent to the exclusive jurisdiction and venue of courts in California in all disputes arising out of or relating to the use of the Site. 


Effect of Account Suspension or Termination

If your member account is terminated or your member account’s access to the Service is restricted, you may continue using certain aspects of the Service (such as viewing only) without an account, and this Agreement will continue to apply to such use. If you believe your member account has been terminated in error, you can reach out via our Contact Us page. 

Don’t like the site? Feel free to leave. 


If you break site rules repeatedly, you may be asked to leave. 


If this site shuts down, all accounts will be terminated.


This agreement is governed by the state of California, and you consent to the exclusive jurisdiction of CA courts in all disputes. 



If your account is terminated, you may still be able to view certain aspects of SpeakerPost but you won’t be able to interact with others.


If your account was deleted in error, please reach out.

Your relationship with SpeakerPost

You agree that no joint venture, partnership, employment, or agency relationship exists between you and SpeakerPost as a result of this agreement or use of the Site. 


SpeakerPost’s performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of SpeakerPost’s  right to comply with governmental, court and law enforcement requests or requirements relating to your use of the Site or information provided to or gathered by SpeakerPost with respect to such use. 


If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. 

If you signed up as a ‘Paid’ speaker, the relationship will be commission-based. A separate contract will apply.

SpeakerPost does not have a partnership with you or employ you. 


SpeakerPost will enforce this agreement based on laws and legal processes.


If any part of this agreement becomes invalid, that provision will be switched out with a valid, enforceable provision that matches the original intent. 

Electronic Communications 

Visiting the SpeakerPost portal or sending emails to SpeakerPost constitutes electronic communications. You consent to receiving electronic communications and you agree that all agreements, notices, disclosures and other communications that we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communications be in writing.


Use of Communication Services 

This service contains ‘communication services’ ( an internal messaging system, personal account pages, ways to cheer and recommend and other message / communication facilities) that are designed to help you to communicate with our community members. You agree to use the Communication Services only to post, send and receive messages and material that are proper and related to the particular Communication Service. 

  

By way of example, and not as a limitation, you agree that when using a Communication Service, you will not: defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information; upload files that contain software or other material protected by intellectual property laws (or by rights of privacy of publicity) unless you own or control the rights thereto or have received all necessary consents; upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer; advertise or offer to sell or buy any goods or services for any business purpose, unless such Communication Service specifically allows such messages; conduct or forward paid surveys, contests, pyramid schemes or chain letters; download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner; falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded; restrict or inhibit any other user from using and enjoying the Communication Services; violate any code of conduct or other guidelines which may be applicable for any particular Communication Service; harvest or otherwise collect information about others, including email addresses, without their consent; violate any applicable laws or regulations.


SpeakerPost has no obligation to monitor the Communication Services. However, we reserve the right to review materials posted to a Communication Service and to remove any materials in its sole discretion. We  reserve the right to terminate your access to any or all of the Communication Services at any time without notice for any reason whatsoever. 

  

We also reserve the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in SpeakerPost’s sole discretion. 

  

Always use caution when giving out any personally identifying information about yourself or your children in any Communication Service. SpeakerPost does not control or endorse the content, messages or information found in any Communication Service and, therefore, SpeakerPost specifically disclaims any liability with regard to the Communication Services and any actions resulting from your participation in any Communication Service.  

Notice or legal requirement, SpeakerPost will communicate you with electronically. 





There are many ways for you to connect and communicate with community members on this portal. Please use this service properly and ethically. 



Don’t been a meanie or a stalker or a troll. Don’t share inappropriate content. Don’t defame.


Just be nice and thoughtful and respectful. 






We are not obligated to monitor communication but we if we come across something inappropriate, we will remove it. 


If we are asked to disclose any necessary  information to law enforcement or to the government and if we are given no choice, we will have to comply. We will push back as much as we are able, to protect your privacy.


Do not share your credit card information or any personal or family information with others. 

No Unlawful or Prohibited Use/Intellectual Property 

As a condition of your use of this ‘service’, you warrant to SpeakerPost that you will not use the site for any purpose that is unlawful or prohibited by these Terms. You may not use the Site in any manner which could damage, disable, overburden, or impair the service or interfere with any other party's use and enjoyment of the Site. You may not obtain or attempt to obtain any materials or information through any means not intentionally made available or provided for through the Site. 

  

All content included as part of the Service, such as text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of UGSI and protected by copyright and other laws that protect intellectual property and proprietary rights. You agree to observe and abide by all copyright and other proprietary notices, legends or other restrictions contained in any such content and will not make any changes thereto. We do not grant you any licenses, express or implied, to the intellectual property of SpeakerPost (UGSI)

SpeakerPost content is not for resale. 


Your use of the Site does not entitle you to make any unauthorized use of any protected content (logo, images, etc.), and in particular you will not delete or alter any proprietary rights or attribution notices in any content.

Links to Third Party Sites/Third Party Services 

SpeakerPost may contain links to other websites ("Linked Sites"). The Linked Sites are not under the control of SpeakerPost and SpeakerPost (or UGSI) is not responsible for the contents of any Linked Site, including without limitation any link contained in a Linked Site, or any changes or updates to a Linked Site. SpeakerPost (UGSI) is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by UGSI of the site or any association with its operators. 


Certain services made available via SpeakerPost may be delivered by third party sites and organizations, but know that we do not directly sell your personal identifying data to advertisers. We may use the data in aggregate to deliver better and more targeted experiences or to share third party products, services or discounts. We also have Google Ads on the site.


Third Party Accounts 

You will be able to connect your SpeakerPost account to third party accounts when you log in. By connecting your UGSI account to your third party account, you acknowledge and agree that you are consenting to the continuous release of information about you to others (in accordance with your privacy settings on those third party sites). If you do not want information about you to be shared in this manner, do not use this feature. 

You may see ads, including Google Ads on our timeline page. Ads contain hyperlink that take you to other sites on the web. SpeakerPost is not responsible for what you may encounter on those external sites. 


SpeakerPost does not directly sell any personal and identifying data to advertisers. We may use the data only in aggregate.

Compensation

No compensation will be paid with respect to the use of your Submission, as provided herein. SpeakerPost is under no obligation to post or use any submission you may provide and may remove any submission at any time in SpeakerPost’s sole discretion. 

By posting, uploading, inputting, providing or submitting your Submission you warrant and represent that you own or otherwise control all of the rights to your Submission as described in this section including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the Submissions. 

As the focus is on volunteerism, SpeakerPost.com does not have a payment functionality on the platform. Any transactions between members happen outside the portal, and SpeakerPost is not responsible.  

The newly introduced SpeakerPost Agency is commission-based and focuses on paid opportunities. Transactions are likely to take place outside the portal between members and the SpeakerPost team. 

You do not get paid for your activity on this portal: Posting videos, photos, recommendations or speaking opportunities. 

 

Post potential speaking opportunities that you have organized. Don’t post anyone else’s need. Let them do it. 



There is no payment functionality on speakerpost.com 

 

The SpeakerPost Agency is commission-based and reaches out to the same memberbase for paid engagements. 

International Users 

The Service is controlled, operated and administered by SpeakerPost from our offices within the USA. If you access the Service from a location outside the USA, you are responsible for compliance with all local laws. You agree that you will not use the SpeakerPost Content accessed through www.speakerpost.com in any country or in any manner prohibited by any applicable laws, restrictions or regulations. 


Follow the local laws of your country while accessing this portal. And don’t break our laws. 

Indemnification 

You agree to indemnify, defend and hold harmless SpeakerPost (UGSI), its officers, directors, employees, agents and third parties, for any losses, costs, liabilities and expenses (including reasonable attorney's fees) relating to or arising out of your use of or inability to use the Site or services, any user postings made by you, your violation of any terms of this Agreement or your violation of any rights of a third party, or your violation of any applicable laws, rules or regulations. SpeakerPost (UGSI) reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with SpeakerPost (UGSI) in asserting any available defenses. 



SpeakerPost is not responsible for your inability to use this service for whatever reason.  

Arbitration 

In the event the parties are not able to resolve any dispute between them arising out of or concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration service selected by the parties in California. The arbitrator's award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the event that any legal or equitable action, proceeding or arbitration arises out of or concerns these Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable attorney's fees. The parties agree to arbitrate all disputes and claims in regards to these Terms and Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The entire dispute, including the scope and enforceability of this arbitration provision shall be determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms and Conditions. 

  

Class Action Waiver 

Any arbitration under these terms and conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. the parties agree that a party may bring claims against the other only in each's individual capacity, and not as a plaintiff or class member in any putative class, collective and/ or representative proceeding, such as in the form of a private attorney general action against the other. Further, unless both you and SpeakerPost agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding. 

We are pacifists and peace-loving and prefer not to fight at all.



But if we have an unresolved dispute, we will follow the Federal Arbitration Act and administer it in the State of California.













Arbitration cannot take place as a collective action, but only on an individual basis. 

Changes to the Service

SpeakerPost is constantly changing and improving the Service. We may also need to alter or discontinue the Service, or any part of it, in order to make performance or security improvements, change functionality and features, make changes to comply with law, or prevent illegal activities on or abuse of our systems. These changes may affect all users, some users or even an individual user. 


Whenever reasonably possible, we will provide notice when we discontinue or make material changes to our Service that will have an adverse impact on the use of our Service. However, you understand and agree that there will be times when we make such changes without notice, such as where we feel we need to take action to improve the security and operability of our Service, prevent abuse, or comply with legal requirements


Liability Disclaimer 

The information, software, products, and services included in or available through the site may include inaccuracies or typographical errors. changes are periodically added to the information herein. We may make improvements and/or changes in the site at any time. SpeakerPost and its suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services and related graphics contained on the site for any purpose. To the maximum extent permitted by applicable law, all such information, software, products, services and related graphics are provided "as is".

  

To the maximum extent permitted by applicable law, in no event shall SpeakerPost and/or its advertisers/ featured profiles and companies be liable for any direct, indirect, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the site, with the delay or inability to use the site or related services, the provision of or failure to provide services, or for any information, software, products, services and related graphics obtained through the site, or otherwise arising out of the use of the site, whether based on contract, tort, negligence, strict liability or otherwise, even if SpeakerPost or any of its partners, advertisers or featured profiles has been advised of the possibility of damages. 


Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. if you are dissatisfied with any portion of the site, or with any of these terms of use, your sole and exclusive remedy is to discontinue using the site. 


We are brand new to this, just like you are - and you will see ongoing improvements, some functionality can change.


We will notify you in advance before we make changes to the platform or profile. In a rare case scenario - advance notice may not happen.





We will try our very best at data accuracy, timeliness. But we make mistakes sometimes too.

Changes to Terms

SpeakerPost (UGSI, LLC) reserves the right, in its sole discretion, to change the terms under which www.speakerpost.com is offered. The most current version of the terms will supersede all previous versions. We encourage you to periodically review the terms to stay informed of our updates. 

Terms change as government regulations change and the site expands. Keep up with the new terms.
